Terms of Service

1. Acceptance

By using Do Later List ("DLL", "we", "the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

DLL is a text-first, voice-enabled AI assistant for managing life administration tasks. The Service includes SMS-based task capture, voice message processing, a web portal, reminders, summaries, and related features.

3. Eligibility

You must be at least 16 years old to use DLL. By using the Service, you represent that you meet this requirement.

4. Your Account

  • Your account is tied to your phone number. You are responsible for maintaining access to your phone number.
  • You are responsible for all activity that occurs under your account.
  • You agree to provide accurate information when using the Service.
  • You may delete your account at any time from the portal Settings page.

5. Acceptable Use

You agree not to:

  • Use the Service for illegal purposes
  • Send spam, phishing, or abusive content through the Service
  • Attempt to access other users' data
  • Reverse-engineer, decompile, or attempt to extract the source code
  • Interfere with or disrupt the Service
  • Exceed posted rate limits or abuse the API

6. Paid Plans

  • DLL offers free and paid tiers. Paid features are described on our Pricing page.
  • Payments are processed by Stripe. By subscribing, you agree to Stripe's terms.
  • Subscriptions renew automatically. You may cancel at any time from the portal.
  • Downgrading does not delete your data — excess resources become read-only.
  • Refund requests are handled on a case-by-case basis within 30 days of charge.

7. AI-Generated Content

  • DLL uses AI to interpret your messages, structure tasks, and generate recommendations.
  • AI outputs are not guaranteed to be accurate. You should verify important dates, amounts, and details.
  • DLL validates AI outputs before acting on them but does not guarantee error-free operation.
  • DLL is not a substitute for professional advice (legal, financial, medical, etc.).

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

  • We do not sell your data.
  • You can export or delete your data at any time.

9. Intellectual Property

The DLL service, brand, design, and codebase are owned by Do Later List. Your task content remains yours. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

10. Service Availability

  • We aim for high availability but do not guarantee uninterrupted service.
  • We may perform maintenance, updates, or modifications that temporarily affect availability.
  • We are not liable for delays or failures caused by third-party providers (Twilio, Supabase, etc.).

11. Limitation of Liability

DLL is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your account if you violate these terms. You may terminate your account at any time by using the Delete Account option in portal Settings. Upon termination, your data will be deleted after a 30-day grace period.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware.

You agree to resolve disputes on an individual basis. Class actions, class arbitrations, and representative actions are not permitted.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.

15. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via SMS or email. Continued use after changes constitutes acceptance.
